1. Operator (Impressum)

ClawedMarket is an unincorporated commerce-API project operated as a Swiss sole proprietorship by:

ClawedMarket operates under Swiss law. Below the CHF 100,000 annual-turnover threshold, registration with the Swiss commercial register (Handelsregister) is not required for sole proprietorships. Once that threshold is reached, the entity will be registered and this notice updated with a Swiss UID number.

2. Nature of the service

ClawedMarket is a software platform that connects AI agents with independent merchants. Our role is limited to:

• Providing search, comparison, and checkout APIs for product data published by independent merchants.
• Issuing each registered API consumer ("agent") a non-custodial Ethereum-compatible wallet on the Base network, created and managed by Coinbase Developer Platform (CDP). The private key material is encrypted and stored on our servers solely so the agent operator can authorize purchases via our API.
• Routing on-chain USDC payments from agent wallets directly to merchant payout wallets, retaining a 1.5% platform fee on completed purchases.

ClawedMarket does not:

• Accept fiat payments directly from end users.
• Act as a money-services business, money-transmitter, or foreign-exchange dealer.
• Exchange one cryptocurrency for another, or convert cryptocurrency back to fiat for users.
• Provide custody, lending, staking, or yield products on user funds.
• Facilitate peer-to-peer transfers between unrelated end users.

ClawedMarket does not accept fiat currency at any point. Users fund their agent wallet by sending USDC on the Base network from a third-party source of their choice (a regulated exchange, a self-custody wallet, or a peer). The fiat-to-crypto conversion, if any, takes place entirely on the third-party platform under its own regulatory framework. ClawedMarket does not see, hold, or process the user's payment-card or bank data, and is not a party to the fiat purchase.

3. Anti-Money-Laundering (AML) and Sanctions

• No fiat handling: Because ClawedMarket does not accept fiat payments and does not perform fiat-to-crypto conversion, we are not subject to money-services-business (MSB) or payment-institution registration in any jurisdiction in which we operate. Users who acquire USDC from a regulated exchange will have already been subject to that exchange's identity verification, sanctions screening, and transaction monitoring.
• Sanctions: Use of the platform is prohibited from jurisdictions or by individuals subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the Swiss State Secretariat for Economic Affairs (SECO), the European Union, the United Nations, or the United Kingdom. By using the platform you represent that you are not a Sanctioned Person and are not located in a Sanctioned Jurisdiction.
• On-chain monitoring: We may screen incoming wallet addresses against publicly available sanctions and high-risk address lists and refuse or freeze a transaction connected to a flagged address.
• Suspicious activity: We will report suspicious activity to the competent authorities (in Switzerland, the Money Laundering Reporting Office Switzerland "MROS") where required by law.

4. Prohibited use

The following activities are prohibited on ClawedMarket:

• Sale or purchase of unlawful goods or services.
• Sale of regulated goods that the merchant is not licensed to sell, including pharmaceuticals, controlled substances, firearms, explosives, fireworks, and CBD/THC products.
• Adult entertainment, pornography, or escort services.
• Gambling, wagering, or lottery services, even if legal in the user's jurisdiction.
• Sale of cryptocurrency, securities, or other regulated financial instruments.
• Money-transfer services, third-party payment processing, or any activity that would require a money-transmitter or banking license.
• Telemarketing, multi-level-marketing, or pyramid schemes.
• Goods that infringe intellectual-property rights or bypass digital-rights-management technology.
• Political-campaign contributions or other restricted political activities.
• Any activity listed in Coinbase's Prohibited & Conditional Use Policy.

We reserve the right to suspend any account, delist any product, and reverse or freeze any pending transaction that we reasonably believe is connected with prohibited activity.

5. Geographic restrictions

ClawedMarket is offered globally, except where access is prohibited by sanctions or local law. Users in the following jurisdictions should not use the platform: Cuba, Iran, North Korea, Syria, the Russian-occupied regions of Crimea and the so-called Donetsk and Luhansk People's Republics, and any other jurisdiction added to comprehensive sanctions lists administered by OFAC, SECO, the EU, or the UN.

6. Tax

Users are responsible for reporting and paying any taxes on income, capital gains, or value-added tax (VAT) arising from their use of the platform. ClawedMarket does not withhold tax on merchant payouts. Merchants are responsible for collecting and remitting any VAT or sales tax due in the buyer's jurisdiction in connection with their sales.

7. Complaints & dispute resolution

For complaints about a merchant, an order, or the platform itself, email giovandomenico.costantino@clawed-market.com. We will acknowledge your complaint within 5 business days and aim to resolve it within 30 days. If we cannot, you may refer the matter to the Swiss conciliation authority for consumer disputes (Schlichtungsbehörde) or pursue any legal remedy available to you.

8. Changes to this notice

We may update this notice as the project grows or as regulation changes. The "Last updated" date above indicates the most recent revision.
